Build on the right foundation.

Compare the Paths

Formation is the first step.
The right documents build the foundation beneath it.

Your business needs a structure that can hold what you are building. I help founders and business owners put that structure in place, from entity formation to operating agreements, bylaws, and contracts, so they can move forward with clarity, without relying on handshake agreements or documents pieced together after the fact.

Entity Formation

Formation is more than filing paperwork. I form LLCs and Corporations. I check name availability, prepare and file the Articles of Organization or Articles of Incorporation with the California Secretary of State, and help you choose a structure that fits how the business will be owned, managed, and taxed, and where it is going next.

Governing Documents

Formation gets the business on the books. These documents establish the rules behind it. I prepare operating agreements and bylaws that define who owns the business, who has authority to act for it, how decisions are made, how profits are distributed, and how ownership can change. I also prepare organizational consents, resolutions, partnership agreements, and amendments as the business grows and the people behind it change.

Contracts

Your entity sets the structure. Your contracts define the relationships around it. I review and prepare the agreements a business actually runs on, and I will tell you what you are committing to before you sign one.

Four steps from idea to entity.

I

Trailhead

A focused consultation to understand what you are building, who else is involved, and where you expect to be in three years. Entity choice follows from those answers, not the other way around.

II

Survey

I check name availability with the California Secretary of State before anything is filed. Then we settle the business address, agent for service of process, ownership, and management structure. These decisions belong on the map before the filing goes in. Correcting them later can mean additional filings, amendments, and fees.

III

Stake

I file the Articles, pay the filing fee, and confirm the expected approval date with you. You receive the filing record when it is submitted and the approval acknowledgment when it clears. Once the entity is approved I send you instructions for obtaining your own EIN, which keeps your Social Security number in your hands rather than my file.

IV

Basecamp

Congrats! The entity is formed! Now it needs the documents that govern it. I draft your operating agreement or bylaws, prepare the supporting documents, and assemble everything into a records portfolio that ships to you.
